Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Watchtower and related services (the “Service”) provided by AiK Engine (“AiK Engine”, “we”, “our”, or “us”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Watchtower is a B2B client portal and automation platform that enables businesses to manage outbound lead campaigns, track pipeline activity, and communicate with clients. The Service is provided on a managed basis — AiK Engine operates the infrastructure, automation workflows, and email delivery on your behalf.

We reserve the right to modify or discontinue any part of the Service with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

Access to Watchtower is by invitation only. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@aikengine.com if you suspect unauthorized access.

You may not share login credentials between multiple individuals. Each account is provisioned for a named individual. AiK Engine may disable accounts that appear to be shared or compromised.

You agree to use the Service only for lawful business purposes. You must not:

• Send unsolicited commercial email (spam) or use the Service in violation of CAN-SPAM, CASL, GDPR, or any other applicable anti-spam or privacy law.
• Import contact lists obtained through scraping, purchasing from data brokers, or any method that does not comply with applicable law.
• Use the Service to harass, threaten, or deceive any person.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Reverse-engineer, decompile, or create derivative works from the Service.
• Use the Service in any way that interferes with or disrupts its integrity or performance.

AiK Engine may terminate or suspend your access immediately, without prior notice, for any violation of these Terms or applicable law.

You are solely responsible for the content of emails sent through the Service, for ensuring you have appropriate consent or a legitimate interest basis for each contact, and for complying with all applicable email marketing laws in the jurisdictions you operate in.

Every outbound email sent through the Service includes a compliant unsubscribe mechanism. You must not remove, disable, or circumvent these unsubscribe mechanisms. Unsubscribe requests are processed automatically and must be honoured within 10 business days as required by CAN-SPAM.

AiK Engine may review aggregate sending patterns to protect the deliverability and reputation of shared email infrastructure. Accounts with abnormally high bounce or spam complaint rates may be suspended pending review.

You retain ownership of all data you upload or import into the Service, including lead records and contact information. You grant AiK Engine a limited, non-exclusive licence to process that data solely as necessary to provide the Service.

You represent and warrant that you have the right to provide this data to AiK Engine and that doing so does not violate any third-party rights or applicable law. You are responsible for obtaining any required consents from individuals whose data you submit.

The Service, including its software, design, trademarks, and all related intellectual property, is owned by AiK Engine or its licensors. These Terms do not grant you any rights to use AiK Engine’s name, logo, or branding without express written permission.

If you provide feedback, suggestions, or ideas about the Service, you grant AiK Engine an irrevocable, royalty-free licence to use that feedback for any purpose.

Access to Watchtower is subject to the fees and billing terms agreed upon in your service agreement with AiK Engine. Fees are non-refundable unless otherwise specified. AiK Engine reserves the right to modify pricing with 30 days’ written notice.

Failure to pay fees when due may result in suspension of your account until payment is received.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AIK ENGINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIK ENGINE’S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. AIK ENGINE IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless AiK Engine and its officers, directors, employees, and agents from any claim, liability, damages, or expenses (including reasonable legal fees) arising from: your use of the Service; your violation of these Terms; your violation of any law or third-party right; or the data you submit to the Service.

Either party may terminate the service relationship at any time with written notice to the other party, subject to any minimum term in your service agreement. Upon termination, your access to the Service will be disabled. Data deletion procedures are described in our Privacy Policy.

Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) will remain in effect after termination.

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any dispute arising under these Terms will be submitted to the exclusive jurisdiction of the courts of Ontario.

We may update these Terms from time to time. Material changes will be communicated via the platform or email with at least 14 days’ notice before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
